Emily K. Eads

Emily Eads focuses on transaction matters related to transportation and infrastructure.  She has experience advising public sector agencies, project sponsors, and contractors in connection with procurement, project delivery, and project financing.  She advises clients on the procurement of major projects, including public-private partnership delivery mechanisms.

Emily was previously an advisor with a large international infrastructure advisory firm, serving as a manager, providing financial analysis and strategic advice with respect to P3 transactions, and advising on design-build projects across the highway, rail, airports, and real estate sectors.  Prior to law school, Emily was a civil engineer in Australia, where she worked for both public and private entities in the development and delivery of large infrastructure projects in the road and rail sector.

Representative Experience

Currently represents or previously represented:

  • The Chicago Transit Authority on the Red and Purple Line Modernization design-build project—the largest such project in the Authority's history
  • New York's MTA Capital Construction on the procurement of a design-build project
  • Massport, acting as bond counsel for the issuance of revenue bonds and commercial paper notes to finance or refinance improvements at Logan International Airport
  • The private development company in connection with construction period matters related to the LaGuardia Central Terminal (Terminal B) P3 project
  • San Bernardino County Transportation Authority on the design-build procurement to replace the aging Mount Vernon Viaduct
  • The City of Chicago in connection with the O’Hare Express System project
  • The City of Denver’s Performance Based Infrastructure (PBI) P3 Office and the Office of the National Western Center on the structuring and procurement of the 62-acre “Triangle” DBFOM P3 project

Prior to joining the Firm, Emily's experience included:

  • Represented the Virginia Department of Transportation in the procurement of a P3 project for the I-66 project
  • Represented the project sponsor for the Regional Rail Link in Melbourne, Australia, in connection with bids for multiple greenfields and brownfields projects involving the Vicotrian Department of Transportation
  • Represented a public authority on the development of a P3 procurement pipeline, including procedures to solicit and evaluate bids
  • Represented a project sponsor in the development of a high-speed rail project, including governance structures and analysis of financing options and revenue opportunities
  • Represented a public authority in the drafting of a State Infrastructure Bank Loan Program loan agreement as well as drafted, edited, and negotiated terms of the concession agreement
  • Developed TIFIA Loan Term Sheet and Loan Agreement for a project sponsor
  • Provided claims negotiation on behalf of a procuring authority for complex rail construction project
