Emily K. Eads

Emily Eads focuses on transaction matters related to transportation and infrastructure.  She has experience advising public sector agencies, project sponsors, and contractors in connection with procurement, project delivery, and project financing.  She advises clients on the procurement of major projects, including public-private partnership delivery mechanisms.

Emily was previously an advisor with a large international infrastructure advisory firm, serving as a manager, providing financial analysis and strategic advice with respect to P3 transactions, and advising on design-build projects across the highway, rail, airports and real estate sectors.  Prior to law school, Emily was a civil engineer in Australia, where she worked for both public and private entities in the development and delivery of large infrastructure projects in the road and rail sector.

  • I-66 P3 Project Virginia Department of Transportation, Fairfax, Virginia
    Represent the Virginia Department of Transportation in the procurement of a P3 project for the I-66 project
  • Regional Rail Link Project Victorian Department of Transportation, Melbourne, Australia
    Represented the project sponsor in connection with bids for multiple greenfields and brownfields projects
  • Represented a public authority on the development of a P3 procurement pipeline, including procedures to solicit and evaluate bids
  • Represented a project sponsor in the development of a high-speed rail project, including governance structures and analysis of financing options and revenue opportunities
  • Represented a public authority in the drafting of a State Infrastructure Bank Loan Program loan agreement as well as drafted, edited, and negotiated terms of the concession agreement
  • Developed TIFIA Loan Term Sheet and Loan Agreement for a project sponsor
  • Provided claims negotiation on behalf of a procuring authority for complex rail construction project
