Jesse C. Brown

Jesse Brown focuses on the transaction side of infrastructure and real estate projects and frequently works with public agencies on financing.  He represents public and private sector clients with small and large scale development projects, including infrastructure public-private partnerships, airports, and residential, commercial, and mixed-use projects. He is a bond attorney and serves as bond counsel, disclosure counsel, and underwriter’s counsel on transactions involving the issuance of a variety of debt instruments.  He also has experience with Title 32 matters.  Prior to joining the Firm, Jesse worked at a national law firm in their public finance sector.

Representative Experience

Currently represents or previously represented:

  • Massachusetts Port Authority, acting as bond counsel for recent issuances of revenue bonds and commercial paper notes to finance or refinance improvements at Logan International Airport
  • The master redeveloper of the Stapleton project (now called Central Park) in the redevelopment of the master planned mixed-use community, addressing entitlements, real estate and infrastructure issues.
  • Jacksonville Transportation Authority on the autonomous vehicle system “Ultimate Urban Circulator” program including procurement of the Phase I project, the Bay Street Innovation Corridor
  • Denver Convention Center Hotel Authority to finance, build, and operate the 1,100 room Hyatt Convention Center Hotel
  • The City of Burlington, Vermont, acting as underwriter’s counsel for the issuance of revenue bonds to refinance improvements at Burlington International Airport
  • Salt Lake City International Airport, acting as disclosure counsel for the issuance of revenue bonds
  • The San Bernardino County Transportation Authority in connection with a design-build-operate-maintain autonomous vehicle / tunnel transit connector to Ontario International Airport
  • The City and County of Denver in connection with the National Western Center “Triangle” project as a hybrid design-build-finance-operate-maintain (DBFOM) P3

Prior to joining the Firm, Jesse:

  • Served as bond, disclosure, and underwriter’s counsel in more than $550 million in tax-exempt municipal financings, including general obligation bond issuances and revenue-backed transactions
  • Represented Title 32 special districts to finance residential, commercial, and mixed-use development projects throughout Colorado
  • Drafted offering documents, indentures of trust, bond purchase agreements, pledge agreements, and opinions
  • Advised underwriter’s and special district counsel on Title 32 and TABOR matters
  • Prepared disclosure agreements and reviewed client compliance with continuing disclosure requirements
