Our team has advised clients in transactions involving millions of square feet of commercial development, including transit-oriented and brownfield redevelopment. We have represented developers in hundreds of millions of dollars of construction and permanent financing (as well as public financing), and also developers of regional shopping centers, large new urbanist mixed-use developments, office buildings, hotels and other commercial properties.
Representative Experience
Central Park Project: Representing the master developer, now Brookfield Properties, of the Central Park project (formerly called Stapleton) since redevelopment began for this 4,700-acre master planned mixed-use community. Kaplan Kirsch & Rockwell assisted Brookfield in nearly all aspects of the ongoing redevelopment, including: preparation of contracts for construction of $650 million of publicly-financed infrastructure, title and survey review, environmental risk mitigation, disclosure, regulatory compliance, and insurance; advice regarding ongoing land use, entitlements, affordable housing and financing matters; and all aspects of ongoing commercial and mixed-use resale transactions, including negotiating and drafting the purchase and sale agreements, restrictive covenants, easements, licenses and other access agreements, as well as coordinating closings.
Private Land Ownership Representation: Representing private landowners in title and survey matters, existing entitlements, and construction and financing obstacles, as well as more uncommon issues such as Bureau of Land Management land exchanges, unique easement, license, tenancy-in-common issues and applicable tax credits and incentives.
Multi-Family Home Builder Issues: Representing a national, multi-family home builder on real estate, due diligence and land use and zoning issues associated with Colorado projects. We advise on metro district issues, affordable housing requirements, mineral interest issues and other associated matters.
Rural Real Estate Expertise: Representing numerous farmers, ranchers and landowners throughout Colorado on the purchase and sale of rural real estate, addressing the distinct issues encountered in rural residential sales.
High-End Home Acquisition: The firm represents many high-end recreational and vacation home acquisition and development projects.
Denver Union Station Project: Represented the master developer of the Denver Union Station site, including drafting and negotiating primary project agreements and assisting with structuring the financing of the transit station, as well as zoning, land use and governance issues..
Transit-Oriented Developments: Represented the developer in transit-oriented, mixed-use developments at light rail stations. Our work involved land use issues, development agreements with municipalities and documenting relationships among co-developers, as well as leasing finance and sale of property.
Brownfield Site Redevelopment: Represented developers in the purchase and redevelopment of numerous contaminated (brownfield) sites within Colorado and across the country.
