I approach my clients’ questions and problems the same way that I approached the season when I was a college coach – focusing on creative strategies and teamwork to achieve the goal. In over 20 years as lawyer, this approach has helped me successfully advise clients on achieving their goals, whether that is procurement and contracting for a major construction project, litigating a project dispute, or advising public entities like airports in their operations. I enjoy the complexity and creativity of public infrastructure projects and am focused on helping clients move their projects from concept to reality.

Tracy advises airports, transit agencies, and other public and private entities on capital projects, regulatory compliance, procurement, contracting, and operational matters. She helps clients navigate complex legal and business challenges throughout project development and delivery, with particular experience advising airport owners on governance, capital development. airline agreements, property leases, procurements, FAA compliance, and DBE/ACDBE requirements. In 2025 and 2026, she has advised clients regarding airport governance significant federal policy changes, and changes to the DBE and ACDBE programs. She serves on the ACI-NA Legal Affairs Steering Committee and the American Bar Association Model Procurement Code for State and Local Governments Revision Project Section 5 (infrastructure procurement) committee.

Tracy has extensive experience with all major project delivery methods, including design-bid-build, design-build, CMAR, CM/GC, and public-private partnerships (P3s). Her work includes airport terminals and concourses, airfield improvements, consolidated rental car facilities, roadway access projects, and rail and transit infrastructure. She also advises clients on  complex procurement and contracting matters, and in resolving disputes related to construction and P3 contracts.

Prior to joining the Firm in 2024, Tracy served as Assistant General Counsel at Denver International Airport and as an Assistant City Attorney for the City and County of Denver. At DEN, she advised on major capital development projects, baggage system initiatives, airline affairs, FAA and TSA compliance, and the termination and closeout of a major P3 project.

Representative Experience

Town of Islip, NY. Representing the Town in the planning, procurement, and contracting of a developer to develop a modern terminal and multi-modal train station connection for Long Island MacArthur Airport using a progressive public-private partnership model.

Representing small, medium, and large hub airports planning and executing capital projects such as new or renovated terminals, ConRAC facilities, and other major projects, including advising these sponsors of finance, delivery method, and associated airline agreements and negotiations.

Reno-Tahoe Airport Authority. Advised the Authority regarding the procurement, contract drafting, and management of its terminal program using a CMAR delivery method.

Governance Issues. Advising airport clients with regard to governance issues and disputes, such as changes in ownership, sponsorship, and operators, including serving as trial counsel for the Jackson Municipal Airport Authority in challenging a state law replacing the Authority with a new, state-appointed authority.

Airport Development and Commercial Transactions. Advises airport sponsors on the development of airport property, including planning, procurement, and contracting for hotels, aircraft servicing facilities, fuel farms, and other aeronautical and non-aeronautical developments.

Airline Agreements and Airport Leasing. Advises airport sponsors in negotiations with airlines, including use and lease agreements, fuel facility agreements, and other space leases, including in connection with major capital projects, the development of terminals, and financial arrangements.

Airport Regulatory Compliance and Federal Funding. Advises airport sponsors on federal regulations and policy matters, including DBE and ACDBE program requirements, legal challenges, Executive Orders and federal policy changes, Grant Assurance compliance, and related regulatory issues.

Procurement and Contracting for Regulated Entities. Advises clients regulated by state and federal procurement requirements in complex procurements and contracts, including rail and transit agencies such as the transit rail reconstruction for Colorado’s Regional Transportation District and the State of Colorado for new passenger rail service.

Prior to Joining the Firm

Denver International Airport (DEN) / City of Denver

  • Advised DEN and City leadership on airport operations, infrastructure, procurement, FAA compliance, finance, labor relations, and strategic planning matters.
  • Advised on the termination of the original Great Hall P3 agreement and procurement and delivery of the restarted Great Hall Project, including the Jeppesen Terminal renovation and baggage system upgrades.
  • Advised on DEN's $3 billion Concourse Expansion Program, adding 39 gates and modernizing existing concourses.
  • Founded and led the City Attorney's commercial litigation group, enforcing contracts, protecting City interests, and defending policy and governance decisions.
  • First-chaired high-profile litigation involving public infrastructure, elections, campaign finance, eminent domain, and property disputes.
